IRB Infrastructure Developers amends agreement with GIC and promoters

IRB Infrastructure Developers Limited announced on December 24, 2025, the execution of a letter agreement related to a share subscription agreement originally disclosed on November 30, 2021. This agreement was made with several parties, including Bricklayers Investment Pte. Ltd. (GIC), Virendra D. Mhaiskar, IRB Holding Private Limited, Deepali Mhaiskar, and Virendra D. Mhaiskar HUF, collectively referred to as the "Promoter Group."

The letter agreement amends certain terms of the prior share subscription agreement and includes a waiver and release by GIC of specific obligations of the promoter and the promoter group. The transaction falls within related party transactions, with the parties to the letter agreement including members of the company's promoter and promoter group.

The company stated that the agreement does not involve any issuance of shares to the parties, nor does it detail any nominee on the board. The disclosure was made in compliance with Regulation 30 of SEBI Listing Regulations and SEBI circular no. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024.
