FDC proposes registered office relocation to Mumbai via postal ballot

FDC Limited has announced a postal ballot process to obtain shareholder approval for shifting its registered office from Waluj, Chhatrapati Sambhaji Nagar, to Andheri West, Mumbai. The company aims to move its office to "FDC House, C-11 & 12, Dalia Industrial Estate, Oshiwara Village, Off New Link Road, Andheri – West, Mumbai – 400053 Maharashtra." This relocation, approved by the board of directors on December 19, 2025, requires a special resolution from members.

The e-voting period for the postal ballot will commence on Monday, December 29, 2025, at 9:00 a.m. (IST) and conclude on Tuesday, January 27, 2026, at 5:00 p.m. (IST). The results, along with the scrutinizer's report, are expected to be announced on or before Thursday, January 29, 2026. The company has appointed Mr. Sanjay Dholakia as the scrutinizer to ensure a fair and transparent voting process.

This strategic move is expected to enhance administrative efficiency and support FDC Limited's growing business requirements through modern office facilities at the new location. The shifting of the registered office might also involve a change of ROC jurisdiction.
