Awfis Space Solutions to sell design and build business

Awfis Space Solutions Limited is seeking shareholder approval for the sale and transfer of its design and build business to Awfis Transform Private Limited, a wholly-owned subsidiary, on a slump sale basis. The business, which includes design consultancy and interior fit-out works, contributed approximately 23.13% to the company's total turnover and 15.60% to its net worth for the financial year ended March 31, 2025. The transaction is valued at approximately INR 265.91 million, based on a valuation report dated December 23, 2025, and will be subject to final adjustments based on the book value of assets and liabilities as of the closing date.

The remote e-voting period for the postal ballot will commence on Wednesday, December 24, 2025, and conclude on Thursday, January 22, 2026. The cut-off date for eligibility to vote is Friday, December 19, 2025. The results of the postal ballot are expected to be declared on or before Saturday, January 24, 2026. The proposed transaction aims to enhance operational efficiency and business synergies.
