Navodya Enterprises cuts stake in SML Mahindra, triggers disclosure

Navodya Enterprises announced on December 22, 2025, the sale of 9,751 shares, representing 0.0674% of SML Mahindra Limited (formerly SML Isuzu Limited). This transaction resulted in their combined holding, including Persons Acting in Concert, decreasing from 15.0539% to 14.9865%. This change in shareholding has triggered disclosure requirements under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Prior to the sale, Navodya Enterprises and its PACs held 2,178,551 shares with voting rights, representing 15.0539% of the total share capital. Following the open market sale, their post-transaction holding stands at 2,168,800 shares, equivalent to 14.9865% of the total diluted share/voting capital. The equity share capital of SML Mahindra Limited remains INR 144,716,460, comprising 14,471,646 shares of face value INR 10 each.
