Juniper Hotels seeks shareholder nod for independent director Mayur Chokshi

Juniper Hotels Limited announced a postal ballot to seek shareholder approval for the appointment of Mayur Chokshi as a non-executive independent director, effective December 18, 2025. This decision aligns with SEBI Listing Regulations requiring listed entities to have at least half of their board of directors comprise independent directors, ensuring continued compliance and robust governance.

The e-voting period for this special resolution will commence on Tuesday, December 23, 2025, at 9:00 a.m. IST and conclude on Wednesday, January 21, 2026, at 5:00 p.m. IST. The cut-off date for determining eligible members to vote is Friday, December 19, 2025. Chokshi, a seasoned chartered accountant with over four decades of experience, will serve a first term of two consecutive years, from December 18, 2025, to December 17, 2027, and will not be liable to retire by rotation.

The board of directors, acting on the recommendation of the nomination and remuneration committee, endorsed Chokshi's appointment, citing his extensive experience in corporate advisory, financial reporting, and internal controls as beneficial to the company’s strategic vision and overall composition. He will receive a sitting fee in accordance with the company’s nomination and remuneration policy.
