Akshay Poddar gifts Texmaco Rail shares to immediate relative

Akshay Poddar has disclosed an off-market gift transfer of 250,000 equity shares of Texmaco Rail & Engineering Limited to an immediate relative, Jyotsna Poddar, on December 19, 2025. This transaction falls under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

Prior to the transfer, Akshay Poddar held 264,820 equity shares, representing 0.07% of the total share/voting capital. Following the gift, Poddar's holding in Texmaco Rail & Engineering Limited now stands at 14,820 shares, which constitutes 0.00% of the total paid-up share capital. The total diluted share/voting capital of the company remains 40,68,64,572 equity shares of Re. 1/- each fully paid up both before and after the acquisition/sale.
