Ceinsys Tech promoter group member to receive substantial share gift

Vrinda Sameer Meghe, part of the promoter group of Ceinsys Tech Limited, has provided prior intimation for the proposed acquisition of 385,785 equity shares, representing 2.16% of the company's capital. This acquisition will occur through an inter-se gift from Sameer Dattatraya Meghe, another member of the promoter group, and is scheduled to take place on or after December 29, 2025.

The transfer is structured as a gift, therefore, no monetary price is applicable. It falls under the exemption provisions of Regulation 10(1)(a)(i) and 10(1)(a)(ii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The acquisition will not alter the total shareholding of the promoters and promoter group collectively.

Following the transaction, Vrinda Sameer Meghe's shareholding in Ceinsys Tech Limited will increase from 2.16% (385,785 shares) to 4.32% (771,570 shares). Correspondingly, Sameer Dattatraya Meghe's shares will decrease from 2.16% to 0%.
