True North Fund VI significantly divests stake in Shree Digvijay Cement

True North Fund VI LLP has completed the sale of 66,725,311 equity shares in Shree Digvijay Cement Company Limited on December 18, 2025. This transaction represents 45.01% of the company's share capital, down from a previous holding of 54.52% (80,825,928 shares). Following this divestment, True North Fund VI LLP's holding in Shree Digvijay Cement now stands at 14,100,617 shares, representing 9.51% of the share capital.

The sale was executed as an open market transaction, stemming from a share purchase agreement dated September 4, 2025, with India Resurgence Fund entities. This reclassifies True North Fund VI LLP as a 'public shareholder' of the target company.

The equity share capital of Shree Digvijay Cement before and after the acquisition/sale remains constant at 147,869,278 equity shares, with a face value of INR 10 each, totaling INR 1,478,692,780. The disclosure was made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
