RBI acknowledges ESAF promoter's revised arrangement scheme

ESAF Small Finance Bank Limited disclosed on December 19, 2025, that it received communication from the Reserve Bank of India (RBI) regarding a revised Scheme of Arrangement submitted by M/s. ESAF Financial Holdings Private Limited (EFHPL), the promoter company. The RBI has taken this revised scheme on record, subject to compliance with applicable statutes, regulations, and guidelines.

The bank emphasized that it is not a party to this Scheme of Arrangement, which is proposed between EFHPL and its identified shareholders. However, due to the scheme's bearing on the bank's promoter shareholding and dilution milestones, ESAF Small Finance Bank is disclosing this communication in line with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

This notification follows an earlier disclosure dated November 24, 2025, concerning the initial communication from EFHPL about the proposed Scheme of Arrangement.
