NCLT sanctions Megasoft and Sigma Advanced Systems merger

The Chennai Bench of the National Company Law Tribunal (NCLT) issued its final order on December 16, 2025, sanctioning the scheme of amalgamation between Sigma Advanced Systems Private Limited and Megasoft Limited. The "Appointed Date" for the scheme is April 1, 2024. The NCLT found the scheme beneficial to both companies and their stakeholders, including shareholders and creditors, and confirmed all statutory compliances were met.

The amalgamation is set to create synergistic benefits, with Megasoft focusing on the Aerospace and Defence Sector, leveraging Sigma's established presence and expertise in this area. Megasoft will gain immediate access to the defence business and technology, acquiring a company with a strong brand and track record, which is expected to provide a steady revenue stream and a platform for future acquisitions.

The approved scheme includes a fair share swap ratio where 316 fully paid equity shares of face value INR 10.0 each of Megasoft will be issued for every 100 fully paid equity shares of face value INR 10.0 each held in Sigma Advanced Systems. The company has also undertaken to discharge any outstanding income tax demands, including INR 1,25,640, related to various financial years.
