Solar Industries appoints two independent directors despite vote outcome

Solar Industries India Limited held a postal ballot from November 18, 2025, to December 17, 2025, for the appointment of Girija Balakrishnan and Viswanathan Laxmanan as independent directors. The total number of shareholders on the cut-off date, November 11, 2025, was 112,149. Of the 90,490,055 total shares held, 80,760,988 votes were polled, representing 89.25% of outstanding shares.

For Girija Balakrishnan's appointment, 52,224,360 votes were cast in favor (64.67% of polled votes) and 28,536,628 against (35.33% of polled votes). Similarly, for Viswanathan Lakshmanan, 54,282,502 votes were in favor (67.21% of polled votes) and 26,478,427 against (32.79% of polled votes). Although the special resolutions for their appointments did not achieve the requisite majority under normal circumstances, they are deemed appointed under Regulation 25(2A) of SEBI Listing Regulations. This regulation allows for appointment if votes in favor exceed votes against, and public shareholder votes in favor exceed public shareholder votes against.
