Omaxe sells stake in Aquarise Developers to wholly owned subsidiary

On December 18, 2025, Omaxe Limited entered into a sale and purchase of shares agreement to sell its entire 40% equity shareholding in Aquarise Developers Private Limited. The buyer is Dinkar Realcon Private Limited, a step-down wholly owned subsidiary of Omaxe Limited. This transaction will result in Aquarise Developers becoming an associate company of Dinkar Realcon Private Company.

The sale involves 4,000 equity shares, representing 40% of the total paid-up equity share capital of Aquarise Developers. These shares are being sold at INR 10 each, totaling a consideration of INR 40,000. The transaction, a related party transaction, is conducted on an arm's length basis.

Dinkar Realcon Private Limited, incorporated under the Companies Act 2013, operates in the real estate and construction business. The agreement's signing and completion are both dated December 18, 2025. This strategic move aims to streamline Omaxe’s corporate structure.
