NCLT sanctions Antony Waste-AG Enviro Infra merger, boosting efficiency

The National Company Law Tribunal (NCLT), Mumbai Bench, has approved the Scheme of Merger by Absorption of AG Enviro Infra Projects Private Limited with Antony Waste Handling Cell Limited, effective April 1, 2025. This decision, announced on December 18, 2025, follows an earlier communication from Antony Waste Handling Cell Limited dated October 9, 2025. AG Enviro Infra, a wholly-owned subsidiary, will be dissolved without winding up, and no consideration will be payable for the merger.

The merger aims to enhance operational efficiency, streamline corporate structure, and maximize shareholder value by consolidating businesses, leveraging combined assets, and eliminating inter-corporate dependencies. Antony Waste Handling Cell Limited, listed on BSE Limited and National Stock Exchange of India Limited, will integrate AG Enviro Infra's services, including municipal and hazardous waste management, waste-to-energy projects, and carbon credit trading.

The NCLT’s approval addresses observations from regulatory bodies, including the Registrar of Companies and the Income Tax Department. Antony Waste Handling Cell Limited confirmed receipt of INR 2,786.70 lakhs (including interest) from Navi Mumbai Municipal Corporation in the year ended March 31, 2025, for outstanding trade receivables.
