Narayana Hrudayalaya schedules meetings for Meridian Medical merger

Narayana Hrudayalaya Limited (NHL) has announced a series of virtual meetings for its shareholders and creditors on Monday, January 19, 2026, to approve the amalgamation of Meridian Medical Research & Hospital Ltd. (MMRHL), a subsidiary. The National Company Law Tribunal (NCLT), Bengaluru Bench, directed these meetings, with an e-voting period from January 16 to January 18, 2026.

The proposed scheme involves the merger of MMRHL into NHL, leading to the dissolution of MMRHL. NHL will issue 1 fully paid-up equity share of INR 10 for every 2 fully paid-up equity shares of INR 10 held in MMRHL. The NCLT order, dated December 2, 2025, follows observation letters from BSE Limited and National Stock Exchange of India Limited, which conveyed no adverse observations.

The merger is expected to simplify the group structure, consolidate operations, enhance financial strength, and generate administrative and managerial cost economies. NHL's equity shareholders meeting is scheduled for 12:00 Noon, while MMRHL's equity shareholders and unsecured trade creditors will meet at 10:00 A.M. and 11:00 A.M., respectively. Additionally, NHL's secured creditors, unsecured loan creditors, and unsecured trade creditors will convene at 2:00 P.M., 3:00 P.M., and 4:00 P.M., respectively, on the same day.
