Bharti Airtel amends Singtel shareholders' agreement, Singtel relinquishes rights

Bharti Airtel Limited announced an amendment to its Shareholders’ Agreement, originally executed on January 22, 2009, between the company, Bharti Telecom Limited, and Pastel Limited (Singtel). The amendment, effective December 18, 2025, aims to better align with current business requirements and governance standards, with key changes including Singtel relinquishing several reserved rights. This follows a previous intimation on August 14, 2023, regarding the original agreement.

The Shareholders' Agreement concerns Bharti Telecom Limited holding 2,466,133,527 equity shares (~40.47% of share capital) and Pastel Limited holding 456,228,212 equity shares (~7.49% of share capital) in Bharti Airtel. The amendments are designed to simplify and rationalize existing arrangements, ensuring no new rights are conferred on either party and having no impact on the management or control of the company.

These changes necessitate subsequent amendments to the company's Articles of Association, which will be subject to shareholder approval. The announcement was made in compliance with SEBI Listing Regulations and the SEBI Master Circular dated November 11, 2024.
