Cigniti Technologies files second motion petition for Coforge amalgamation

Cigniti Technologies Limited announced on December 16, 2025, that it has filed a Second Motion Petition with the National Company Law Tribunal (NCLT). This filing is in connection with the proposed Scheme of Amalgamation of Cigniti Technologies Limited (Transferor Company) with and into Coforge Limited (Transferee Company).

The amalgamation is being pursued under sections 230 to 232 and other applicable provisions of the Companies Act, 2013. This latest development follows a series of prior disclosures made between December 27, 2024, and December 08, 2025, regarding the proposed scheme.

The company has requested this information be brought to the notice of all concerned. The disclosure was made in compliance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
