Tech Mahindra subsidiary launches new venture in Zambia

Tech Mahindra Ltd. confirmed today that its wholly-owned subsidiary, Comviva Technologies Limited, through Yabx Technologies (Netherlands) B.V., has incorporated Yabx Technologies Zambia Limited. The new entity, registered on December 12, 2025, will focus on providing computer programming activities and related services in Zambia.

Yabx Zambia is incorporated with an initial share capital of ZMW 20,000, comprising 20,000 shares of ZMW 1/- each. It will operate within the Information Technology industry, aligning with Tech Mahindra's main line of business by offering software and analytic platform services to prospective clients, including banks and micro-financial institutions in Zambia. As a newly incorporated entity, Yabx Zambia has no prior turnover.

The incorporation establishes Yabx Zambia as a subsidiary and a related party of Tech Mahindra. The company confirmed that the initial subscription by Yabx Technologies (Netherlands) does not fall under the purview of a Related Party Transaction for Tech Mahindra, and no governmental or regulatory approvals were required for this acquisition.
