Som Distilleries shareholders back related party transactions

Som Distilleries & Breweries Limited (SDBL) announced the consolidated scrutinizer's report and voting results for its Extra-Ordinary General Meeting (EOGM) held on December 12, 2025. The company's shareholders approved two resolutions with significant majorities, both pertaining to related party transactions with Woodpecker Greenagri Nutrients Private Limited (WGNPL).

The first resolution, a special resolution, sought approval to give a loan, corporate guarantee, and make investments in WGNPL. This resolution passed with 99.97% of votes in favor on polled votes, with 38,358,425 votes for and 11,355 votes against. The second resolution, an ordinary resolution, concerned approving material related party transactions with WGNPL. This also passed with 99.97% of votes in favor on polled votes, with 38,358,425 votes for and 11,355 votes against.

The EOGM saw 141 members participate in the voting process, which included remote e-voting and e-voting during the meeting. The total number of shareholders on the record date of December 5, 2025, was 112,338. A total of 38,369,780 valid votes were polled across both resolutions.
