Narayana Hrudayalaya board approves clinical services demerger

Narayana Hrudayalaya Limited (NHL) announced the approval of a Scheme of Arrangement to demerge its Clinical Services undertaking from NH Integrated Care Private Limited (NHIC), a wholly-owned subsidiary, into NHL. The demerger, with an appointed date of April 1, 2025, involves 10 clinics in Bengaluru and aims to unify patient care pathways, optimize medical specialist deployment, and enhance resource efficiency through integrated operations. This strategic move will allow NHIC to exclusively focus on its preventive healthcare platform, Narayana Aarogyam.

The Clinical Services undertaking had a turnover of INR 39.94 crore for the year ended March 31, 2025, representing 1.11% of NHL's total standalone turnover. There will be no change in the shareholding pattern of NHL, and NHIC will remain a wholly-owned subsidiary, as the scheme does not involve cash consideration or issuance of new shares. The transaction, approved on December 12, 2025, is subject to regulatory and statutory approvals, including from the National Company Law Tribunal.
