Jyotsna Poddar to acquire Zuari Agro Chemicals shares from Akshay Poddar

Jyotsna Poddar, a promoter of Zuari Agro Chemicals Limited, is set to acquire 150,000 shares from Akshay Poddar, representing 0.36% of the company's share capital. This acquisition, scheduled for December 19, 2025, or later, will be conducted as an inter-se transfer in the form of a gift between relatives, with no monetary consideration.

Following the proposed transaction, Jyotsna Poddar's shareholding will increase from 21,621 shares (0.05%) to 171,621 shares (0.41%). Conversely, Akshay Poddar's stake will decrease from 150,585 shares (0.36%) to 585 shares (0.00%). This disclosure is made under Regulation 10(5) read with Regulation 10(1)(a)(i) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, which exempts the acquirer from making an open offer.

The acquirer has affirmed compliance with all conditions specified under Regulation 10(1)(a) for exemptions and has committed to meeting applicable disclosure requirements as per Chapter V of the Takeover Regulations, 2011. There will be no encumbrance on these shares beyond what has already been disclosed.
