Praj Industries announces promoter share transfer as trust dissolves

Praj Industries Limited announced an inter-se transfer of 7,200,000 shares, representing 3.917% of the total share/voting capital, between Moriyaset Trust (transferor) and Dr. Pramod Chaudhari (transferee).

The transaction, which occurred on December 9, 2025, is exempt under SEBI regulations as it involves the dissolution of Moriyaset Trust, a part of the promoter group.

Prior to the transfer, Dr. Pramod Chaudhari held 38,700,000 shares (21.054%), while Moriyaset Trust held 7,200,000 shares (3.917%). Post-transaction, Dr. Pramod Chaudhari’s holding increased to 45,900,000 shares, now accounting for 24.971% of the total share/voting capital. Moriyaset Trust's holding became nil after the transfer. The aggregate promoter and promoter group holding remains unchanged.

The equity share capital and total voting capital of Praj Industries before and after the acquisition/sale stands at INR 3,676,26,176, consisting of 18,38,13,088 equity shares of INR 2 each. This transaction was conducted off-market.
