Mphasis appoints Punit Sood as independent director, Jan Hier concludes term

Mphasis has announced the appointment of Punit Sood as an additional director (non-executive, independent) for five consecutive years, effective December 11, 2025. This decision, based on the nomination and remuneration committee's recommendation, was approved by the board of directors and is subject to shareholder approval through a postal ballot.

Sood currently serves as an independent director on the boards of ICICI Bank and NPCI, bringing over 36 years of experience in financial services and technology.

Simultaneously, Jan Kathleen Hier will conclude her second and final term as independent director and chairperson of Mphasis, effective December 10, 2025. Sood's appointment is intended to enhance the company's strategic leadership and growth journey.

Sood is not related to any other directors of Mphasis and is not debarred from holding a director's office by any SEBI order or other authority. The company will seek shareholder approval for Sood's appointment as per Regulation 17(1C) of the SEBI Listing Regulations.
