Bosch Group increases stake in Johnson Controls-Hitachi Air Conditioning India

Robert Bosch GmbH, along with Bosch Global Software Technologies Private Limited, acquired 2,166,628 shares in Johnson Controls-Hitachi Air Conditioning India Limited, representing 7.97% of the total diluted share capital. This acquisition, which took place on December 9, 2025, was part of an on-market acquisition pursuant to an open offer.

Prior to this acquisition, Bosch indirectly held 74.25% of the share capital and control of the company. The current transaction increases the PAC's direct holding to 7.97%. The total equity share capital of Johnson Controls-Hitachi Air Conditioning India Limited before and after the acquisition remains 27,190,884 shares, as per the shareholding pattern on September 30, 2025.

This acquisition follows a public announcement on July 26, 2024, regarding an open offer to acquire up to 7,000,355 equity shares (25.75% of share capital). The tendering period for this open offer was from November 13, 2025, to November 26, 2025, during which the 2,166,628 shares were validly tendered and accepted.
