Viceroy Hotels to hold EGM for board changes, capital restructure, and transactions

Viceroy Hotels Limited will hold an Extra Ordinary General Meeting (EGM) on Saturday, December 27, 2025, at 11:00 A.M. (IST) via video conferencing to approve key proposals. The agenda includes the appointment of Mrs. Kondareddy Sukanya as a non-executive non-independent director and Ms. Vaishnavi Nalabala as an independent director for a five-year term starting December 1, 2025. The company also seeks to reclassify its authorized share capital, transitioning to solely 9,00,00,000 equity shares of INR 10/- each, totaling INR 90,00,00,000/-.

These transactions are significant, exceeding 10% of the company's annual consolidated turnover of INR 137.29 Crores for FY 2025, and are considered in the interest of strategic portfolio expansion.
