Mangalam Cement: Promoter group shares transferred without consideration

Mangalam Cement Limited has disclosed an inter-se transfer of 11,017 equity shares among its promoter group, effective December 4, 2025. Anshuman Vikram Jalan transferred shares to Vaishnavi Jalan (5,508 shares) and Avayaan Vikram Jalan (5,509 shares) as gifts, meaning no consideration was involved. This transfer is exempt from requiring an open offer under SEBI regulations.

Following the transfer, Vaishnavi Jalan's shareholding, including PACs, increased from 38.93% (10,703,367 shares) to 38.95% (10,708,875 shares) of the total capital. Conversely, Anshuman Vikram Jalan's individual holding as a seller decreased from 1.08% (296,253 shares) to 1.06% (290,745 shares).

Similarly, Avayaan Vikram Jalan's shareholding, including PACs, also saw an increase from 38.95% (10,708,875 shares) to 38.97% (10,714,384 shares), with Anshuman Vikram Jalan's individual seller holding decreasing from 1.06% (290,745 shares) to 1.04% (285,236 shares). The volume-weighted average market price for the shares was reported as INR 750.81 per share.
