Catalyst Trusteeship Limited has disclosed a pledge over 63,050,966 equity shares of Apollo Tyres Limited, representing 9.93% of the company's paid-up share capital. This disclosure, made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, highlights a significant change in the nature of ownership.

The pledge was created by Emerald Sage Investment Ltd in favor of Catalyst Trusteeship Limited, acting as the security agent for certain lenders. The acquisition date for this encumbrance was December 1, 2025.

Before and after this acquisition, Catalyst Trusteeship Limited's direct holding of shares carrying voting rights, VRs, or convertible securities remains Nil. However, the total shares under encumbrance for Catalyst Trusteeship Limited and its Persons Acting in Concert (PACs) after the acquisition now stand at 63,050,966, equating to 9.93% of both the total share/voting capital and the total diluted share/voting capital of Apollo Tyres Limited.
