Rajratan global wire seeks shareholder approval for charter amendments

Rajratan Global Wire Limited is seeking shareholder approval for alterations to its Memorandum of Association (MOA) and Articles of Association (AOA) via a postal ballot. The proposed changes include inserting a new sub-clause 46 in Clause III(B) of the MOA, enabling the company to engage in activities related to conventional and non-conventional energy sources, including power generation, research, and consultancy services. Additionally, a new Article 157 will be added to the AOA, allowing the company to use its power generation plants for captive generation and consumption.

The postal ballot voting period will commence on Thursday, December 4th, 2025, at 9:00 A.M. (IST) and conclude on Friday, January 2nd, 2026, at 5:00 P.M. (IST). The company has engaged Central Depository Services (India) Limited (CDSL) to facilitate remote e-voting for shareholders, and results will be announced by Tuesday, January 6th, 2026.

These amendments aim to ensure compliance with the Electricity Rules, 2005, and procedures mandated by the Madhya Pradesh Electricity Regulatory Commission (MPERC), allowing the company to pursue captive power generation projects. The board of directors recommends the special resolutions for approval.
