Filatex Fashions announces board, auditor changes

Filatex Fashions Limited announced a series of key appointments and resignations on December 3, 2025. KPSJ & ASSOCIATES LLP was appointed new statutory auditor, filling the casual vacancy left by Pundarikashyam and Associates' resignation, effective December 3, 2025, until the next annual general meeting. M/s. Sachin Singh & Associates was appointed secretarial auditor, effective December 3, 2025, to replace Akhilesh Singh & Associates.

The board also appointed Dhruv Rameshbhai Chauhan and Sonali Sandeep Joshi as additional independent directors for five-year terms, effective December 3, 2025. Additionally, Ms. SANJU was appointed as a whole-time director for five years, also effective December 3, 2025. These appointments are subject to shareholder approval.

The company reconstituted several committees, with Dhruv Rameshbhai Chauhan Joshi becoming chairman of the audit committee and a member of the nomination & remuneration committee. These changes follow the resignations of Sangeeta Sethia as non-executive non-independent director and Swapnil Prakash Raka as an independent director, both effective December 3, 2025, due to personal commitments.
