Wipro completes Harman Connected Services merger, streamlines group structure

Wipro announced the completion of the merger between its wholly-owned subsidiary, Wipro Digital Inc., and Harman Connected Services, Inc., a step-down subsidiary. The transaction became effective on December 1, 2025, following an agreement to acquire 100% shareholding in Harman Connected Services Inc. and its subsidiaries, as initially communicated on August 21, 2025.

The merger aims to rationalize and consolidate Wipro's group structure. Wipro Digital Inc. specializes in Information Technology services, while Harman Connected Services, Inc. provides Information Technology (IT) and Engineering, Research & Development (ER&D) services, reporting a turnover of $223,538,898 as of December 31, 2024. Wipro Digital Inc. had a turnover of NIL.

This transaction was not classified as a related party transaction. No cash consideration or share exchange ratio was involved, and there are no changes to the listed entity's shareholding pattern as a result of this merger.
