Responsive Industries to appoint Ajay Shanghavi as independent director

Responsive Industries Limited has issued a notice of postal ballot to its members seeking approval for the appointment of Ajay Pratapray Shanghavi as a non-executive independent director. The appointment, effective from November 11, 2025, will be for a term of five consecutive years, concluding on November 10, 2030. Shanghavi, an MBA with extensive experience in engineering, manufacturing, and financial services, will not be subject to retirement by rotation and will receive sitting fees for board and committee meetings.

The remote e-voting period for this special resolution commences on Friday, December 5, 2025, at 9:00 AM IST and concludes on Sunday, January 4, 2026, at 5:00 PM IST. Only members whose names appear on the register of members/list of beneficial owners as of the cut-off date, Friday, November 28, 2025, are eligible to vote. The results of the postal ballot are expected to be declared on or before Tuesday, January 6, 2026.
