NCLT sanctions TVS Electronics amalgamation scheme

The National Company Law Tribunal (NCLT), Chennai Bench, has sanctioned the scheme of amalgamation between TVS Investments Private Limited (TVSIPL) and TVS Electronics Limited (TVSEL). The order, dated November 27, 2025, was made available on the NCLT and TVS Electronics' websites as of December 2, 2025.

The 'Appointed Date' for the scheme was April 1, 2023. The 'Effective Date' will be determined upon the fulfillment of conditionalities outlined in clause 21 of the scheme and the subsequent filing of the certified order with the Registrar of Companies. A certified copy of the NCLT order is pending receipt by the company. TVS Electronics will inform the Stock Exchanges of the 'Effective Date' in due course.
