GTT Data Solutions independent director resigns over potential conflict of interest

GTT Data Solutions Limited (formerly Cinerad Communications Ltd.) announced on December 1, 2025, the resignation of Salil Sriram Shetty as an independent director, effective immediately. Shetty's resignation was prompted by a change in his personal interests, as he acquired an interest in another organization that is part of the promoter group, as defined under SEBI regulations. This new affiliation could be perceived to compromise his independence.

In his resignation letter, Shetty confirmed that his decision was made to uphold corporate governance standards and regulatory compliance. He also resigned from all committee positions he held on the board, including his roles as a member or chairperson. He serves as a non-executive non-independent director in Bijoy Hans Limited and holds chairman positions in the audit committee and membership in the nomination and remuneration committee and stakeholder's relationship committee of the board of Bijoy Hans Limited.

Shetty confirmed that there are no other material reasons for his resignation beyond those stated in his letter. The company has taken this disclosure on record, aligning with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and related SEBI circulars.
