Yatra Online fined for board composition non-compliance

Yatra Online Limited's board of directors, meeting on November 30, 2025, addressed non-compliance notices from the National Stock Exchange of India (NSE) and BSE Limited. Both exchanges levied fines due to the company's failure to comply with Regulation 17(1) of the Listing Regulations concerning the composition of its board for the quarter ended September 30, 2025.

The total fine payable, including 18% GST, amounts to INR 513,300, based on a daily fine of INR 5,000 for 87 days of non-compliance. Yatra Online has confirmed payment of the fine within the prescribed timeline. The company noted that Mr. Roshan Chanaka Nirmal Mendis was appointed as a director effective September 26, 2025, bringing the board's composition into compliance.

Additionally, the board approved the appointment of Ms. Jyoti Chawla as company secretary, compliance officer, and key managerial personnel, effective December 1, 2025. She brings over 18 years of experience in leading compliance functions across various industries.
