BMW Industries shareholders appoint two new directors

BMW Industries Limited announced November 29, 2025, the successful outcome of its postal ballot, confirming the appointment of two directors. Joginder Pal Dua has been appointed an additional director and non-executive independent director for five consecutive years from August 29, 2025, to August 29, 2030, with 99.999% of polled votes in favor. Concurrently, Prahlad Kumar has been appointed an executive director for a five-year term from August 29, 2025, receiving 99.9986% of polled votes in favor.

The postal ballot process, which concluded November 27, 2025, with results scrutinized by Raj Kumar Banthia of MKB & Associates, saw 179 members representing 100,643,771 equity shares casting their votes through remote e-voting. Both special resolutions were passed by the requisite majority.

These appointments follow the provisions of the Companies Act, 2013, and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The detailed voting results and the Scrutinizer’s Report have been uploaded on the company's website and submitted to the BSE Limited and The Calcutta Stock Exchange Limited.
