Sadhana Nitro Chem: Promoters increase stake in inter-se transfer

Asit Dhankumar Javeri and Abhishek Asit Javeri, members of the promoter group of Sadhana Nitro Chem Limited, have acquired 95,000 shares through an inter-se transfer. The shares were acquired on November 7 and November 14, 2025, at a price of INR 6.17 per share.

Before the acquisition, Asit Dhankumar Javeri held 1.4274% and Abhishek Asit Javeri held 0.8329% of the total share capital. Following the transaction, their holdings increased to 14.7507% and 14.1562% respectively. Manekchand Panachand Trading Investment Co Pvt Ltd, the seller, saw its stake decrease from 26.6469% to 0.0003%.

The acquisition is exempt under Regulation 10(1)(a)(iii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as the acquirers and seller belong to the promoter group. A report under Regulation 10(7) was submitted on November 27, 2025, with a fee of INR 1,77,000 paid to SEBI. The volume-weighted average market price for the shares over sixty trading days preceding the acquisition notice was INR 8.69 per share.
