NRB Bearings Update: Promoter pledges shares to Tata Capital

On November 26, 2025, Harshbeena Sahney Zaveri, a promoter of NRB Bearings Limited, disclosed the creation of a pledge involving 21,914,877 equity shares. These shares represent 22.61% of NRB Bearings Limited's total share capital and were pledged in favor of Tata Capital Limited on November 19-20, 2025. Following this transaction, the total shares pledged by Harshbeena Sahney Zaveri stood at 21,914,877, maintaining a 22.61% encumbrance of the total share capital.

Concurrently, Trilochan Singh Sahney Trust – 1, another promoter, reported the release of a pledge on 21,914,877 equity shares on November 19-20, 2025. This release reduced the Trust’s encumbered shares from 33,809,300 (34.88%) to 6,785,123 (7.00%) of the total share capital. The percentage of total shares pledged by the promoters remains the same post these transactions.

These disclosures were made to the BSE Limited and National Stock Exchange of India Limited, as per Regulation 31 (1) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
