NRB Bearings: Promoter stake consolidated through off-market transfer

Harshbeena Sahney Zaveri, a promoter of NRB Bearings Limited, has acquired 27,024,177 equity shares of the company through an inter-se promoter, off-market transfer. This acquisition, which took place on November 19 and 20, 2025, increased her individual stake from 13.60% to 41.48% of the total voting capital. The shares were transferred from Trilochan Singh Sahney Trust – 1, where Harshbeena Sahney Zaveri is a beneficiary.

The transfer involved 17,542,176 shares on November 19, 2025, and 9,482,001 shares on November 20, 2025, representing 18.10% and 9.78% respectively of the total shareholding. This transaction falls under the exemption provided by Regulation 10(1)(a)(ii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, indicating it did not trigger an open offer requirement.

Despite the substantial internal transfer, the overall percentage of total shareholding of the promoters of NRB Bearings Limited remains unchanged post-transaction. The company's equity share capital stands at 96,922,600 equity shares of Rs. 2/- each.
