Frontier Springs: Promoters transfer 15.65% stake off-market

Mamta Bhatia and Manju Bhatia, referred to as the "Acquirers," are set to acquire 616,403 equity shares of Frontier Springs Limited from Kamla Bhatia through an off-market inter-se transfer by way of a gift. This transaction, scheduled for December 5, 2025, represents 15.65% of the company's paid-up share capital. Each acquirer will receive 308,202 and 308,201 shares, respectively.

This acquisition falls under the exemption provided by Regulation 10(1)(a)(ii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as it is an inter-se transfer among promoters without consideration. The overall aggregate holding of the promoter group is expected to remain unchanged following this internal reorganization.

Post-acquisition, Mamta Bhatia's shareholding will increase from 0.97% (38,038 shares) to 8.79% (346,240 shares), and Manju Bhatia's will rise from 0.52% (20,380 shares) to 8.34% (328,581 shares). Kamla Bhatia's holding will significantly decrease from 15.90% (626,403 shares) to 0.25% (10,000 shares). The total shareholding of the Acquirers and PACs will increase from 35.86% to 51.51%.
