Asian Hotels (North) fined for board composition, woman director absence

Asian Hotels (North) Limited announced on November 28, 2025, that both the BSE Limited and National Stock Exchange of India Limited have each levied a fine of INR 106,200. The penalties, which include GST, stem from the company's non-compliance with Regulation 17(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The violation relates to the requirements for the composition of the board of directors, specifically the failure to appoint a woman director. This non-compliance spanned 18 days. The company stated that this fine is not expected to have a material impact on its financial, operational, or other activities.

The fines were imposed as per SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155, dated November 11, 2024. Asian Hotels (North) Limited informed regulatory bodies that it received the directive on November 28, 2025.
