Ashoka Buildcon takes full control of Ashoka Concessions

Ashoka Buildcon Limited, along with its subsidiary Viva Highways Limited, has completed the acquisition of shares and convertible debentures held by Macquarie SBI Infrastructure Investments Pte Limited and SBI Macquarie Infrastructure Trust ("Investors") in Ashoka Concessions Limited (ACL) and Jaora-Nayagaon Toll Road Company Private Limited. This transaction, effective November 27, 2025, provides a full exit for the Investors. The aggregate consideration paid for the balance Class A & Class B Compulsorily Convertible Debentures and equity shares was INR 667,09,68,979/-.

Following the acquisition of 3,40,000 equity shares, ACL has now become a wholly owned subsidiary of Ashoka Buildcon Limited, effective November 27, 2025. This consolidation aims to facilitate better functioning and operations of ACL, enable efficient decision-making, and allow the company to run ACL and bid for new projects more effectively.

ACL, incorporated on April 05, 2011, is an intermittent holding company that bids for NHAI projects. For FY24-25, ACL reported a total income of Rs.151.16 crore and a net worth of Rs.990.70 crore. This transaction is not a related party transaction and has received approval from the National Highway Authority of India.
