UltraTech Cement appoints Dhiraj Kapoor as new company secretary

UltraTech Cement Limited announced the appointment of Dhiraj Kapoor as its new company secretary and compliance officer, effective December 1, 2025. Kapoor, a member of The Institute of Company Secretaries of India and a law graduate, brings over 24 years of experience in managing corporate secretarial affairs for large, listed entities. His expertise spans corporate laws, listing regulations, and governance matters. He will also assume the roles of key managerial personnel, senior managerial personnel, and nodal officer from the same date.

The appointment follows the cessation of Sanjeeb Kumar Chatterjee as company secretary and compliance officer, key managerial personnel, and nodal officer, effective November 30, 2025. Chatterjee will superannuate on June 30, 2026, after a transitional period to ensure a smooth handover. The board expressed sincere appreciation for Chatterjee’s outstanding service and valuable contributions to the company during his tenure.

The announcement was made following a board of directors meeting on November 27, 2025. The decision was based on the recommendation of the Nomination, Remuneration and Compensation Committee. This change is in compliance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
