Tanla subsidiary merger approved by regional director

Tanla Platforms Limited has received confirmation from the Regional Director, South East Region - Hyderabad, approving the Scheme of Arrangement for the merger of Gamooga Softtech Private Limited (Gamooga) with Karix Mobile Private Limited (Karix). This follows an earlier intimation on April 24, 2025, with the confirmation order issued on November 24, 2025, and received by both companies on November 27, 2025.

Karix, a wholly-owned subsidiary of Tanla Platforms, will merge with Gamooga, a step-down subsidiary. The merger’s appointed date is April 1, 2025, with the effective date confirmed as November 27, 2025. The approval falls under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The confirmation order outlines conditions, including Karix Mobile Private Limited paying the difference in fees and stamp duty on the authorized capital increase. Additionally, both companies must ensure compliance with all applicable laws and will not be absolved of any statutory liability post-sanction.
