Ashoka Buildcon subsidiary sells five infrastructure projects to Maple Trust

Ashoka Concessions Limited (ACL), a material subsidiary of Ashoka Buildcon Limited, announced the sale of its entire share capital in five special purpose vehicles (SPVs) to Maple Infrastructure Trust and its nominees. The transaction, effective November 26, 2025, includes the repayment of shareholder loans associated with these SPVs.

The divested SPVs are Ashoka Highways (Bhandara) Limited, Ashoka Highways (Durg) Limited, Ashoka Belgaum Dharwad Tollway Limited, Ashoka Sambalpur Baragarh Tollway Limited, and Ashoka Dhankuni Kharagpur Tollway Limited. The aggregate consideration for this transaction is Rs. 1814.42 Crores, subject to specific holdbacks as per the transaction documents.

Maple Infrastructure Trust, the buyer, is registered with SEBI and listed on the Bombay Stock Exchange (BSE). Ashoka Buildcon confirmed that the buyer does not belong to the promoter/promoter group/group companies of Ashoka Buildcon, and the transaction is not considered a related party transaction. The trading window for designated persons of the company remains closed for 48 hours post-disclosure.
