Wardwizard Innovations & Mobility promoter pledges 1m shares

Yatin Sanjay Gupte, a promoter of Wardwizard Innovations & Mobility Limited, has declared the creation of a pledge involving 1,000,000 equity shares of the company. This pledge, executed on November 19, 2025, represents 0.33% of the total diluted share/voting capital of the company. The shares were pledged in favor of Blacksoil Capital Private Limited to secure financial assistance as per the terms of a financing/credit facility agreement.

Prior to this transaction, Yatin Sanjay Gupte held 48,566,153 shares (16.14% of voting capital) and had 41,946,729 shares encumbered (13.94%). After the pledge creation, the number of encumbered shares for Yatin Sanjay Gupte increased to 42,946,729, representing 14.28% of the company's total share/voting capital.

The total equity share capital of Wardwizard Innovations & Mobility Limited remains at INR 30,08,17,446, divided into 30,08,17,446 equity shares of INR 1/- each, both before and after this acquisition. This declaration was made to the BSE Limited in accordance with Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
