Tejas Networks appoints Randhir Thakur as non-executive director

Tejas Networks Limited shareholders have approved the appointment of Dr. Randhir Thakur as a non-executive, non-independent director. The resolution was passed via a postal ballot through remote e-voting, with results declared on November 24, 2025. The e-voting period ran from October 24, 2025, to November 22, 2025.

The resolution saw 99.91% of valid e-votes cast in favour of Dr. Thakur's appointment and 0.09% against. Out of 17,68,72,413 total equity shares, 1,091 members participated in the e-voting process, casting 11,27,22,013 votes, representing 63.73% of the total paid-up equity share capital as of the cut-off date, October 17, 2025.

Promoter and Promoter Group members cast 9,49,05,686 votes, all in favour (100%), while public institutions contributed 1,74,00,155 votes in favour (99.47%) and 92,876 against (0.53%). Public non-institutions cast 3,17,411 votes in favour (98.18%) and 5,885 against (1.82%). The appointment is effective from November 22, 2025.
