NM Finance releases pledged Indo Tech Transformers shares

NM Finance & Investment Consultancy Limited (NMFICL) has disclosed the release of 750,000 pledged shares in Indo Tech Transformers Limited, representing 7.06% of the target company’s total diluted share/voting capital. The disclosure, made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, confirms NMFICL’s capacity as a lender in this transaction. The release date for these shares was November 20, 2025.

Prior to this transaction, NMFICL held 750,000 shares, equating to 7.06% of Indo Tech Transformers' voting capital, all of which were encumbered. Following the release, NMFICL's holding of encumbered shares in Indo Tech Transformers Limited is now nil, resulting in a 0% holding of voting rights.

Indo Tech Transformers Limited's equity share capital before and after the transaction remains 106,200,000 equity shares of Rs.10/- each, aggregating to Rs. 1,062,000,000/- as per the shareholding pattern for the quarter ended September 30, 2025. The shares of Indo Tech Transformers Limited are listed on both BSE Limited and the National Stock Exchange of India Ltd.
