WF Asian funds exit 5paisa Capital entirely

Citibank N.A., on behalf of WF Asian Reconnaissance Fund Limited and WF Asian Smaller Companies Fund Limited, disclosed a significant sale of shares in 5paisa Capital Ltd. The transaction, executed on November 17, 2025, involved the disposal of 2,421,905 shares, representing 7.75% of the company's total voting capital.

Prior to this transaction, the WF Asian funds held a 7.75% stake in 5paisa Capital. Following the sale, their holding in the target company has been reduced to zero shares, marking a complete divestment.

The disclosure, made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011, confirms that the acquisition/sale occurred via the secondary market. The total paid-up equity capital of 5paisa Capital before and after the transaction remains 31,242,338 shares.
