Wardwizard innovations promoter pledges additional shares

Yatin Sanjay Gupte, a promoter of Wardwizard Innovations and Mobility Limited, has pledged an additional 1,000,000 equity shares of the company. This pledge, executed on November 19, 2025, in favor of Blacksoil Capital Private Limited, serves as collateral for a loan, specifically to meet a shortfall in a margin call. The transaction was disclosed under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, and also under Regulation 31(1) and 31(3) for encumbrance.

Prior to this transaction, Yatin Sanjay Gupte held 48,566,153 shares, representing 16.14% of the total share capital. The total encumbered shares before this pledge stood at 41,946,729, or 13.94%. With the new pledge of 1,000,000 shares, the promoter's total encumbered shares now amount to 42,946,729, increasing the encumbrance percentage to 14.28% of the total share capital. The total equity share capital of Wardwizard Innovations and Mobility remains unchanged at INR 30,08,17,446, divided into 30,08,17,446 equity shares of INR 1 each.
