MOVI Limited increases stake in Ester Industries through promoter group transfer

MOVI Limited disclosed the acquisition of 1,876,000 equity shares of Ester Industries Limited from Arvind Singhania, a member of the promoter group. The transaction, executed on November 19, 2025, occurred via an Open Market Block Deal Mechanism. This acquisition is part of a transfer between promoter group entities and was reported under Regulation 29(2) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011.

Following this transaction, MOVI Limited's shareholding in Ester Industries Limited increased from 5,828,645 shares (5.97% of total share capital) to 7,704,645 shares (7.89%). Despite the internal transfer within the promoter group, the aggregate shareholding of the promoters/promoter group in Ester Industries remains unchanged at 62.73% of the total share capital.

The total equity share capital of Ester Industries Limited stands at 97,586,191 equity shares, each valued at Rs. 5. The disclosure also lists other persons acting in concert with MOVI Limited, including M/s. Wilemina Finance Corp. and M/s. Fenton Investments Private Limited.
