Automobile Corporation of Goa announces promoter change after Tata Motors restructuring

Automobile Corporation of Goa Limited (ACGL) has announced a change in its promoter entity, effective November 21, 2025. This follows a Composite Scheme of Arrangement approved by the board of directors of Tata Motors Limited and sanctioned by the National Company Law Tribunal. Under this scheme, the Commercial Vehicles Business Undertaking of Tata Motors Limited was demerged and vested into TML Commercial Vehicles Limited.

Subsequently, Tata Motors Limited changed its name to Tata Motors Passenger Vehicles Limited, and TML Commercial Vehicles Limited was renamed Tata Motors Limited. All assets, liabilities, rights, and investments related to the Commercial Vehicles Business were transferred to the new Tata Motors Limited.

As a result, the shareholding of ACGL previously held by the erstwhile Tata Motors Limited, amounting to 29,82,214 equity shares (representing 48.98% of ACGL's paid-up share capital), has been transferred to the new Tata Motors Limited. Consequently, the new Tata Motors Limited will now serve as the promoter of ACGL, replacing the erstwhile Tata Motors Limited.
